These Terms of Service ("Terms") govern your use of the advertising management services provided by Lianyungang Meigou Culture Media Co., Ltd. ("we," "us," or "our") as described on this website. By engaging our services, you agree to these Terms. If you do not agree, please do not use our services.
01 Service Scope
We provide Amazon advertising management services to brands and sellers operating on the Amazon marketplace. Our services include, but are not limited to:
- Campaign Management: Planning, launching, and optimizing Sponsored Products, Sponsored Brands, and Sponsored Display campaigns on behalf of the client
- Bid Optimization: Analyzing advertising performance data to execute bid and budget adjustments aligned with the client's ACOS or ROAS goals
- Search Term Optimization: Reviewing search term reports to promote high-converting terms and add negative keywords to reduce wasted spend
- Multi-Account Management: Managing advertising operations across multiple Amazon seller accounts under separate, client-authorized API access
- Performance Reporting: Delivering structured weekly and monthly reports covering key advertising metrics
- API Integration: Building custom integrations with the Amazon Advertising API for automated reporting pipelines and campaign management tooling
The specific services, deliverables, timelines, and pricing applicable to each engagement are set out in a written Service Agreement signed by both parties prior to commencement of work. In the event of conflict, the written Service Agreement takes precedence over these Terms.
Important: We are an independent advertising agency. We are not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. "Amazon," "Sponsored Products," "Sponsored Brands," "Sponsored Display," and related marks are trademarks of Amazon.com, Inc. or its affiliates.
02 Authorization Mechanism
All access to your Amazon advertising account is obtained through Amazon's official OAuth 2.0 authorization framework. The following conditions apply:
- You must explicitly authorize our application through Amazon's secure login interface. We will never request your Amazon account username or password directly.
- Authorization grants our application a scoped access token limited to advertising data operations. We do not receive access to order data, inventory data, financial data, or any other account area beyond advertising.
- You may revoke authorization at any time through your Amazon account's "Authorized Applications" settings. Revocation takes immediate effect at the Amazon platform level.
- Following revocation, we will cease all API access and delete stored OAuth tokens within 30 days, as described in our Privacy Policy.
- We will not perform any campaign actions beyond the scope agreed in the Service Agreement without prior written approval from the client.
- Amazon reserves the right to rotate or invalidate previously issued credentials at any time for security purposes (Amazon Partner Network Policy, §5.4). We may be required to refresh or reapply for credentials accordingly. We will notify you of any service interruptions caused by such credential changes as soon as practicable.
03 Client Responsibilities
By engaging our services, you agree to the following responsibilities:
- Accurate information: You will provide accurate and complete information about your business, products, and advertising goals necessary for us to deliver the agreed services.
- Timely authorization: You will complete the OAuth authorization flow in a timely manner to enable us to begin work per the agreed timeline.
- Compliance with Amazon policies: You are responsible for ensuring that your Amazon seller account and products comply with Amazon's policies, terms of service, and applicable laws. We are not responsible for policy violations arising from your account's pre-existing state or product listings.
- Review and approval: You will review reports and strategic recommendations within a reasonable timeframe and provide feedback or approval as needed to enable timely execution.
- Lawful use: You will not request or instruct us to take any actions that would violate Amazon's policies, applicable laws, or the rights of third parties.
- Account security: You are responsible for maintaining the security of your Amazon account. You should notify us immediately if you suspect unauthorized access to your account.
04 Data Processing
We access and process your Amazon advertising data solely to deliver the services described in these Terms and in your Service Agreement. Key data processing commitments include:
- We access only the data categories necessary to perform the agreed services.
- We do not sell, license, sublicense, rent, lend, or share your advertising data with third parties, except as described in our Privacy Policy (e.g., Amazon-approved third-party service providers operating under written confidentiality agreements solely to support the operation of our Amazon Advertising integration, per §4.7 of the Amazon Partner Network Policy).
- Amazon advertising data accessed through the API is governed by Amazon's Data Protection Policy (DPP). Our use of such data strictly complies with those policies.
- Upon termination of services, we will delete your account data within 90 days and your OAuth credentials within 30 days.
- No sublicensing of Amazon API rights (§4.10): We will not sublicense, transfer, or delegate to any third party the rights granted to us to use Amazon Advertising and its API. Our authorized access is non-transferable and is used solely by us to provide services directly to you.

Additional Amazon Partner Network Commitments
- Compliant use only (§4.11): We will not use Amazon Advertising for any product, service, or website that violates any other Amazon policy. Our integration is used exclusively for the advertising management services described in these Terms.
- Supported formats only (§4.13): We will not use Amazon Advertising for any unsupported advertising format, product, or feature without Amazon's prior written approval. Our services are limited to ad types and API capabilities that are currently approved and documented by Amazon.
- Professional quality standards (§4.17): Our products and services are developed and maintained to professional quality standards consistent with recognized industry practices, including secure coding conventions, access control measures, and operational reliability appropriate for managing advertiser campaign data and business information.
- API throttle compliance (§4.18): We respect and comply with all throttle limits specified by Amazon for the Amazon Advertising API, including data volume, processing capacity, and call frequency limits. Our system architecture is designed with these constraints in mind to prevent violations.
- Data validation and error handling (§4.19): For all services that affect the integrity of advertiser campaign data, performance data, or related business information flows, we implement robust data validation and error-handling mechanisms, including input filtering and error logging, to protect the accuracy and completeness of advertising data.
05 Intellectual Property & Trademarks
Our Intellectual Property
All website content, reports, tooling, software, dashboards, methodologies, and documentation created by us remain our intellectual property unless otherwise agreed in writing. Deliverables created specifically for you (such as campaign structures and performance reports) are licensed to you for your internal business use.
Your Intellectual Property
You retain all rights to your brand assets, product information, advertising creative, and campaign data. You grant us a limited, non-exclusive license to access and use this information solely to perform the agreed services.
Amazon Trademarks
"Amazon," "Sponsored Products," "Sponsored Brands," "Sponsored Display," "Amazon Ads," and related marks are trademarks of Amazon.com, Inc. or its affiliates. We use these names solely to describe the services we manage on your behalf in connection with our approved Amazon Ads Partner Network integration. We are not affiliated with, endorsed by, or sponsored by Amazon.com, Inc.
Any use of Amazon's name, trademarks, service marks, logos, or other brand features ("Amazon Marks") by us is limited strictly to identifying our integration with Amazon Advertising services and is conducted in compliance with Amazon's Trademark Usage Guidelines, as may be updated from time to time. We do not use Amazon Marks in any way that implies endorsement, sponsorship, or affiliation beyond our approved Partner Network membership.
Amazon Intellectual Property Restrictions (§2.2)
In connection with our use of the Amazon Advertising API and Amazon's services, we strictly observe the following restrictions as required by the Amazon Partner Network Policy:
- We will not copy, modify, translate, localize, port, adapt, derive, decompile, reverse-engineer, or otherwise attempt to obtain the source code, underlying ideas, or algorithms of Amazon Advertising or any Amazon Materials.
- We will not remove, obscure, or alter any proprietary notices (including copyright, patent, and trademark notices) contained in Amazon Advertising or any materials downloaded from it.
Prohibited Uses of Our Materials
You may not reproduce, distribute, or create derivative works from our proprietary tools, reports, or methodologies without our prior written consent.
06 Disclaimer of Warranties
Our services are provided on a professional "best efforts" basis. We make the following clarifications:
- No guarantee of results: Advertising performance depends on many factors outside our control, including marketplace competition, product listing quality, seasonality, and Amazon algorithm changes. We do not guarantee specific ACOS, ROAS, sales, or revenue outcomes.
- Service availability: We rely on the Amazon Advertising API and related Amazon infrastructure. We are not responsible for service interruptions caused by Amazon platform outages, API changes, or account restrictions imposed by Amazon.
- No warranty of fitness: To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
07 Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total liability to you for any claim arising from or related to our services shall not exceed the total fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.
- We shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost sales, or loss of advertising performance, even if advised of the possibility of such damages.
- We are not liable for losses arising from Amazon platform changes, API outages, account suspensions imposed by Amazon, or circumstances beyond our reasonable control.
Indemnification of Amazon (§8.4)
In accordance with the Amazon Advertising Partner Network Policy (§8.4), we agree to indemnify, defend, and hold harmless Amazon.com, Inc. and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to our violation of the Amazon Advertising Partner Network Policy in our use of Amazon Advertising. This indemnification obligation is separate from and in addition to any obligations we may have to you under these Terms.
08 Termination
Termination by Client
You may terminate your service engagement by providing written notice as specified in your Service Agreement (typically 30 days). Upon termination:
- We will cease all campaign management activities on the notice date or the date specified in your agreement, whichever is later.
- You should revoke our OAuth authorization through your Amazon account settings.
- We will delete your account data within 90 days and OAuth tokens within 30 days of service termination.
- Outstanding fees for services rendered up to the termination date remain due and payable.
Termination by Us
We reserve the right to terminate or suspend services with written notice if:
- You breach these Terms or your Service Agreement and fail to remedy the breach within 14 days of notice
- You instruct us to take actions that violate Amazon's policies or applicable law
- Payment obligations are not met within the timeframe specified in your Service Agreement
Effect of Termination
Sections relating to intellectual property, limitation of liability, disclaimer of warranties, and governing law shall survive termination of these Terms.
08b Amazon Monitoring, Enforcement & Cooperation
As a member of the Amazon Ads Partner Network, we acknowledge and accept the following enforcement rights reserved by Amazon (§6.1):
- Amazon may monitor our use of Amazon Advertising through automated mechanisms including technical controls and log analysis to detect violations of its policies or applicable restrictions.
- Confirmed violations may result in enforcement actions including suspension or termination of our Amazon Advertising and Partner Network access, revocation of credentials, and other legal remedies, without prior notice.
- We accept that Amazon Advertising is provided subject to ongoing compliance with the Amazon Advertising Partner Network Policy, and that continued access is a privilege that may be revoked if we fail to comply.
In accordance with Amazon Advertising Partner Network Policy (§6.2), we are obligated to cooperate reasonably with Amazon in any investigation of unauthorized access to Amazon advertising data or violations of Amazon's policies. This includes:
- Promptly providing any records, logs, or information reasonably requested by Amazon in connection with such an investigation
- Notifying Amazon of any confirmed or suspected unauthorized access to Amazon data within 72 hours of discovery
- Providing compliance records upon request to demonstrate adherence to Amazon's Partner Network Policy
Where Amazon requires us to take corrective action in connection with our API integration, we will comply promptly. We will notify you if such action materially affects the services we provide to you.
09 Independent Relationship with Amazon (§8.1)
Nothing in the Amazon Advertising Partner Network Policy, these Terms, or any agreement between us and Amazon.com, Inc. establishes any agency, employment, partnership, unincorporated association, joint venture, or any other similar relationship between us and Amazon. Specifically:
- We are an independent contractor and advertising service provider. We are not an agent, employee, partner, or joint venturer of Amazon.com, Inc.
- We have no authority to bind Amazon to any obligation or represent Amazon in any capacity.
- Amazon bears no responsibility for the services we provide to you, and we bear no responsibility for Amazon's platform, policies, or decisions.
- Our use of Amazon Advertising is subject to Amazon's Partner Network Policy, but this does not create any employment or agency relationship between the parties.
10 Governing Law
These Terms are governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or related to these Terms or our services shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to the competent court in Lianyungang, Jiangsu Province, China.
11 Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, applicable law, or Amazon's policies. When we make material changes, we will update the "Last updated" date at the top of this page and notify active clients by email at least 30 days before the changes take effect.
Continued use of our services after the effective date of the updated Terms constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you may terminate your service engagement as described in Section 8.
Amazon Partner Network Policy Updates (§7.1 / §7.2)
We acknowledge that the Amazon Advertising Partner Network Policy — which governs our use of the Amazon Advertising API and all associated Amazon data — may be updated by Amazon at any time at Amazon's sole discretion. Updated policies will be made available at least 30 days before taking effect through Amazon's standard notification process. Our continued access to and use of Amazon Advertising after an updated policy's effective date constitutes our acceptance of the updated terms. Where Amazon's policy changes require us to modify the services we provide to you, we will notify you as soon as practicable.
